1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website and software products (each, a "Service") operated by MP Tech Point ("we", "us", "our"), including AcademyFlow and any other product referenced on this site. By accessing or using a Service, you agree to be bound by these Terms.

2. Definitions

  • "Customer" or "User" means any person or business entity that registers for or uses a Service.
  • "Content" means data, records, and information submitted to a Service by a Customer.
  • "Subscription" means a paid or trial plan granting access to a Service.

3. Acceptance of Terms

By creating an account, starting a trial, or otherwise using a Service, you confirm that you are authorized to accept these Terms on behalf of yourself or the business you represent, and that you are at least 18 years of age.

4. Use of Service

We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business operations, subject to these Terms and any applicable subscription plan limits.

5. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

6. Fees & Payment

Subscription fees are billed monthly in advance based on the plan selected at signup: Starter (₹499/month), Professional (₹999/month), or Enterprise (₹2,499/month). Fees are exclusive of applicable taxes (including GST) unless stated otherwise. Invoices are generated automatically at the start of each billing cycle. Late or failed payments may result in suspension of access to the Service until payment is received. Plan changes (upgrades or downgrades) take effect from the next billing cycle unless otherwise agreed.

7. Free Trial

New Customers are eligible for a 7-day free trial, granting full access to Service features without requiring payment details at signup. At the end of the trial period, Customers must select a paid Subscription plan to continue using the Service; access will be limited or suspended if no plan is selected. We may modify or discontinue trial offers at any time without notice.

8. Intellectual Property

The Service, including all software, branding, and documentation, is owned by MP Tech Point and protected under applicable intellectual property laws in India. These Terms do not grant you any ownership rights in the Service.

9. User Content

You retain ownership of Content you submit to a Service. You grant us a limited license to host, process, and display that Content solely to provide the Service to you. You are responsible for ensuring you have the right to submit that Content, including any personal data of third parties (such as students, patients, or employees).

10. Prohibited Uses

  • Reverse engineering, decompiling, or attempting to extract source code from a Service.
  • Using a Service to store or transmit unlawful, defamatory, or infringing material.
  • Attempting to gain unauthorized access to another customer's account or data.
  • Reselling or sublicensing access to a Service without our written consent.

11. Third-Party Services

A Service may integrate with or link to third-party tools (for example, payment gateways or SMS/WhatsApp providers). We are not responsible for the availability or practices of third-party services.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, MP Tech Point shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold MP Tech Point harmless from any claims, losses, or damages arising from your misuse of the Service or violation of these Terms.

15. Termination

We may suspend or terminate your access to a Service for breach of these Terms. You may cancel your Subscription at any time in accordance with the cancellation process described within the relevant product. [PLACEHOLDER: confirm per-product cancellation and data export process.]

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to the dispute resolution process below, the courts at city, e.g. Indore / Bhopal], Madhya Pradesh, India shall have exclusive jurisdiction over any disputes arising from these Terms.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of a Service after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated where reasonably possible.
